Formation of contract - consultation

The Scottish Law Commission is seeking views on a working draft of a Bill on the formation of contract. It forms part of a larger Commission project looking at four aspects of contract law: penalty clauses, interpretation, remedies for breach of contract and formation.

The Commission hopes to publish a final Report on all four areas in Spring 2018.

According to the draft Explanatory Notes published with the working draft Contract (Formation) (Scotland) Bill, “The Bill provides for a statutory statement of the law of formation of contract, replacing many elements of the common law on formation (but preserving others which are not inconsistent with the Bill) and abolishes the postal acceptance rule exception which provides that an acceptance has legal effect when it is posted, as opposed to when it reaches the person making the offer."

Comments are sought on the working draft of the Bill by 3rd November 2017. This will help the Commission finalise the draft Bill, in order to publish it with the final Report in 2018.
